Terms of Service

1. Agreement to Terms

By accessing or using the DevMatrix platform at app.devmatrix.dev(the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

DevMatrix is a cognitive software compiler platform that transforms DMX specifications into production-ready code. The Service includes:

  • The DMX specification editor and Workshop environment
  • The DevMatrix compiler and code generation engine
  • LLM-assisted specification authoring (optional, requires user-provided API keys)
  • Quality gates, provenance tracking, and test suite generation
  • Organization management, role-based access control, and collaboration tools

3. Account Registration

To use the Service, you must:

  1. Provide accurate and complete registration information.
  2. Maintain the security of your account credentials.
  3. Promptly notify us of any unauthorized use of your account.
  4. Be at least 16 years of age.

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Billing

4.1 Plans

The Service is offered under multiple subscription tiers (Free, Startup, Pro, Enterprise) as described on our pricing page. Features, limits, and pricing may vary by plan.

4.2 Payment

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is processed securely through Stripe. All fees are non-refundable except as required by applicable law or as otherwise stated in these Terms.

4.3 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

4.4 Price Changes

We may modify pricing with at least 30 days' notice. Price changes will not affect your current billing cycle.

5. Intellectual Property

5.1 Your Content

You retain all rights to your DMX specifications, generated code output, and any other content you create or upload through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process Your Content solely to provide the Service.

5.2 Generated Output

Code generated by the DevMatrix compiler from your specifications belongs to you. You may use, modify, distribute, and sublicense the generated code without restriction or attribution.

5.3 Our Intellectual Property

The Service, including the DevMatrix compiler, DMX language specification, user interface, documentation, and all related intellectual property, is owned by DevMatrix and protected by copyright, patent (US Patent Pending), trademark, and other intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works of the Service.

5.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable law.
  • Upload or transmit malicious code, viruses, or any harmful content.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service to generate code intended for malicious purposes (malware, exploits, etc.).
  • Scrape, crawl, or use automated means to access the Service beyond published APIs.
  • Exceed rate limits or usage quotas in a manner intended to disrupt the Service.
  • Resell, sublicense, or provide the Service to third parties without written authorization.
  • Remove or obscure any proprietary notices or labels on the Service.

7. Multi-Tenant Isolation

The Service implements strict multi-tenant data isolation. Each organization's data is logically separated using Row-Level Security (RLS) policies. You agree not to attempt to access data belonging to other organizations or users.

8. Third-Party Services

8.1 LLM Providers

The Workshop's LLM-assisted features require you to provide your own API keys for third-party LLM providers (Anthropic, OpenAI, Google). Your use of these providers is subject to their respective terms of service. DevMatrix is not responsible for the output, availability, or conduct of third-party LLM providers.

8.2 OAuth Providers

If you authenticate via Google OAuth, your use is subject to Google's Terms of Service and Privacy Policy.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We will provide reasonable advance notice of planned maintenance when possible.

Enterprise plan customers may be eligible for a Service Level Agreement (SLA) with defined uptime commitments.

10. Data Processing

Our processing of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

Enterprise customers requiring a Data Processing Agreement (DPA) may request one by contacting [email protected].

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • DevMatrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amounts paid by you to DevMatrix in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold DevMatrix harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your Content or specifications processed through the Service.
  • Your violation of any third-party rights.

13. Termination

13.1 By You

You may terminate your account at any time through the account settings. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow for account recovery, after which it will be permanently deleted.

13.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice and an opportunity to export your data when reasonable.

13.3 Effect of Termination

Sections that by their nature should survive termination will survive, including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law.

14. Governing Law and Disputes

These Terms are governed by the laws of Spain. Any disputes arising from or relating to these Terms or the Service shall be resolved through:

  1. Negotiation: Good-faith negotiation for 30 days.
  2. Mediation: If negotiation fails, mediation under the rules of the Spanish Arbitration Association.
  3. Litigation: If mediation fails, exclusive jurisdiction of the courts of Málaga, Spain.

For EU consumers, nothing in these Terms affects your rights under mandatory consumer protection laws. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations. You may not use the Service in any country subject to comprehensive trade sanctions or in violation of any applicable export restriction.

16. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Miscellaneous

  • Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights freely.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and DevMatrix regarding the Service.
